Terms of Service

These Terms of Service ("Terms") govern access to and use of the website and services of StrategIA Mind LLC ("StrategIA Mind", "we"). By using the site or engaging our services, you agree to these Terms.

1. Purpose

StrategIA Mind is an AI-adoption agency offering AI audits, voice agents, chatbots, automations, and AI-powered websites for small and medium-sized businesses.

2. Proposals, pricing, and payments

The scope, timeline, and price of each project are defined in a specific proposal. Our model combines a one-time setup fee and, where applicable, a monthly retainer. Payments to StrategIA Mind are processed via Stripe. The setup fee is charged before build work begins.

Third-party production platforms (for example, telephony, voice, or AI models) are contracted and paid for by the client on their own accounts, unless otherwise agreed in writing.

3. Client obligations

• Provide accurate information and the access needed to deliver the service.
• Obtain required consents and comply with the rules applicable to its sector and end users (for example, recording and messaging consent).
• Use the deliverables in accordance with the law and these Terms.

4. Intellectual property

Unless otherwise agreed, once a project is paid in full, the client owns the custom deliverables created specifically for it. StrategIA Mind retains ownership of its know-how, templates, reusable components, and pre-existing tools, and grants the client a license to use the components needed to operate the solution.

5. Confidentiality

Each party will protect the other's confidential information and use it only to perform the project. This obligation survives termination of the relationship.

6. Warranties and limitation of liability

We provide services with professional diligence. We do not guarantee specific business results (for example, sales volume or conversion); any estimate is provided as an indicative range. To the maximum extent permitted by law, services are provided "as is", and our total aggregate liability will not exceed the amounts actually paid to StrategIA Mind for the project in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages or lost profits.

7. Indemnification

The client will indemnify StrategIA Mind against claims arising from misuse of the deliverables or from non-compliance with the rules applicable to its business or end users.

8. Termination

Either party may terminate the relationship as set out in the proposal. Monthly fees are cancelled with the agreed notice. Setup amounts already earned are non-refundable unless otherwise agreed.

9. Governing law and arbitration

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law rules.

Any controversy, claim, or dispute arising out of or relating to these Terms or the services will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Chicago, Illinois. The award will be final and binding and may be entered in any court of competent jurisdiction.

To the extent permitted by law, claims will be resolved on an individual basis; the parties waive any right to bring claims as a class or representative action. This does not prevent either party from seeking relief in small-claims court where applicable, or from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

10. Changes

We may update these Terms. The current version will be posted on this page with its update date.
